1. Acceptance
By checking the “I have read and agree to the Event Organizer Agreement” box during Stripe onboarding, you (“Organizer,” “you”) agree to this Agreement and to the LocalPulse Terms of Service and Privacy Policy. If you are accepting on behalf of an organization, you represent that you are authorized to bind that organization. “LocalPulse,” “we,” or “us” refers to the LocalPulse platform and its operators.
2. Your events, your responsibility
You are solely responsible for the events you list on LocalPulse. This includes, without limitation: the accuracy of event listings; safety, security, and lawful conduct at your events; honoring every valid ticket sold; entry and access decisions; and compliance with all venue, health, and public- safety requirements. LocalPulse does not organize, produce, host, control, promote, or sponsor your events, and does not represent you.
3. Refunds, chargebacks & disputes
You are 100% liable for all refunds, chargebacks, disputes, reversals, and buyer-protection claims arising from your events, including but not limited to non-delivery, cancellation, postponement, misrepresentation, or dissatisfaction. You agree to respond to and defend any chargeback or dispute within the timelines Stripe requires. You are responsible for publishing a refund policy at the point of sale and honoring it. You will indemnify LocalPulse for any loss we sustain as a result of your failure to timely process refunds or defend chargebacks.
4. Reserves
You authorize LocalPulse and Stripe to establish and hold reserves against your Stripe account and against amounts otherwise payable to you. Reserves may be rolling reserves, event-based reserves (held until after each event completes and the chargeback window closes), or risk-based reserves. The amount, form, duration, and terms of a reserve are determined in our sole discretion based on factors including but not limited to chargeback and refund history, event size, ticket price, delivery timeline, industry risk, and prior performance. We may modify a reserve at any time to reflect updated risk.
5. Recovery of losses, chargebacks, fees & negative balances
You authorize LocalPulse to recover any amount you owe us or Stripe — including losses, chargebacks, refunds, reversals, fines, penalties, platform fees, processing fees, and negative account balances — from any of the following, in any order and without prior notice: (a) reserves held under Section 4; (b) current and future payouts, ticket sales, or other funds payable to you through the platform; (c) direct debit or ACH debit against the bank account you have on file with Stripe; (d) any other funds we owe you; and (e) legal collection proceedings. You will remain liable for any deficit that remains after we exhaust the above.
6. Platform fee is non-refundable
The LocalPulse platform fee (charged to the buyer on top of your ticket price) is non-refundable and remains retained by LocalPulse even when a ticket is refunded, disputed, successfully charged back, or otherwise reversed. The platform fee funds our operating costs regardless of the ultimate outcome of a sale.
7. Taxes, permits & prohibited goods
You are solely responsible for collecting, reporting, and remitting all applicable taxes on your ticket sales, including sales tax, use tax, entertainment tax, income tax, and any foreign, federal, state, or local tax. You are responsible for obtaining and maintaining all permits, licenses, insurance, and authorizations required for your events, including but not limited to alcohol service permits, ADA-compliant accessibility, and venue capacity limits. You will not sell tickets for events involving prohibited goods or activities, including without limitation: firearms; controlled substances; adult sexual services; unlicensed gambling; multi-level marketing; resale of copyrighted material; and any event or good prohibited by Stripe's Restricted Businesses list.
8. Accurate information & KYC
You will provide accurate, complete, and current information during Stripe's Know-Your-Customer (KYC) onboarding and will promptly update that information as it changes. Providing false or misleading information — including using a shell entity to obscure ownership, or misrepresenting the nature of your events — voids this Agreement, entitles us to withhold any pending payouts pending investigation, and may be reported to Stripe and to law enforcement.
9. LocalPulse is a technology platform, not the merchant of record
For events sold under this Agreement, YOU are the seller and merchant of record. LocalPulse is a technology platform that facilitates ticket sales through Stripe Connect. LocalPulse does not take title to, insure, or accept risk of loss for any ticket, event, or good. LocalPulse is not a party to the ticket purchase contract between you and the buyer, and is not a travel agency, ticket agency, or ticket broker.
10. Indemnification
You will defend, indemnify, and hold harmless LocalPulse and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your events; (b) your acts or omissions; (c) your breach of this Agreement or any law; (d) your failure to honor a valid ticket or process a refund; (e) any bodily injury, property damage, or death at or in connection with your events; and (f) any dispute between you and a buyer, performer, venue, contractor, or third party.
11. Limitation of liability
To the maximum extent permitted by law, LocalPulse's aggregate liability under this Agreement will not exceed the total platform fees LocalPulse collected from your events in the twelve (12) months preceding the event giving rise to the claim. In no event will LocalPulse be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.
12. Termination
Either party may terminate this Agreement at any time with or without cause. LocalPulse may immediately suspend or terminate your ability to sell tickets if we believe you have breached this Agreement, are engaged in fraud, present unacceptable chargeback or reputational risk, or violate applicable law. Termination does not release you from obligations that by their nature survive, including Sections 3 (Refunds), 4 (Reserves), 5 (Recovery), 6 (Platform fee), 10 (Indemnification), and 11 (Limitation of liability).
13. Governing law
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-laws principles. The exclusive venue for any dispute arising out of this Agreement will be the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
14. Modifications
We may update this Agreement from time to time. Material changes will be communicated to you by email or through the platform. Your continued use of ticket-sales features after a change constitutes acceptance of the updated Agreement. If you do not agree to a change, your sole remedy is to stop selling tickets on LocalPulse.
